By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, please do not access or use the Site.

These Terms apply to your use of the Site and its publicly available content. Your use of any LoanStar software, platform, technology, or other services may be subject to separate agreements between LoanStar and its customers, partners, or other authorized users.

If a separate written agreement governs your use of a specific LoanStar product or service, that agreement will control in the event of a conflict between that agreement and these Terms with respect to that product or service.

1. About LoanStar

LoanStar Technologies, LLC is a financial technology and software company that provides technology solutions to financial institutions, businesses, and other organizations.

LoanStar’s technology supports financial institutions and businesses in offering lending and financing solutions through their own customer and merchant relationships.

LoanStar is not a lender. LoanStar does not itself make consumer credit decisions, underwrite, approve, fund, or service consumer loans through this Site.

Any lending products, financing options, credit decisions, rates, terms, eligibility requirements, or other financial services referenced on the Site are provided or determined by the applicable financial institution or other authorized provider.

2. Use of the Site

You may use the Site for lawful business and informational purposes and in accordance with these Terms.

You agree not to:

  • Use the Site in violation of any applicable federal, state, local, or international law or regulation.
  • Attempt to gain unauthorized access to the Site, its servers, systems, networks, or related infrastructure.

We reserve the right to restrict or terminate access to the Site if we reasonably believe that these Terms or applicable law have been violated.

3. Website Content and Information

The Site contains information about LoanStar, our technology, products, services, partnerships, resources, events, and other business activities.

The content available on the Site is provided for general informational and business purposes.

We make reasonable efforts to maintain accurate and current information on the Site. However, we do not warrant that all content is complete, accurate, current, or free from errors or omissions.

Information on the Site may be changed, updated, corrected, or removed at any time without notice.

Information regarding LoanStar’s products, services, capabilities, integrations, or technology should not be interpreted as a guarantee that a particular feature, integration, service, or functionality will be available to every customer or user.

Nothing on the Site should be interpreted as a guarantee of results, revenue, lending volume, business performance, or other particular outcome.

4. Downloadable and Marketing Materials

The Site may make available resources such as white papers, guides, case studies, reports, presentations, graphics, data sheets, and other downloadable materials (“Materials”).

Unless otherwise stated, Materials are owned by LoanStar or its licensors and are provided for informational and business purposes.

You may download and use Materials for your internal business and informational purposes, provided that you:

  • Do not modify the Materials in a way that misrepresents their content or source.
  • Do not remove copyright, trademark, or other proprietary notices.
  • Do not reproduce, republish, distribute, sell, license, or commercially exploit the Materials without our prior written permission.
  • Do not represent that the Materials or any portion of them were created by you or another person or organization.

LoanStar reserves all rights not expressly granted under these Terms.

5. No Financial, Legal, or Professional Advice

Information provided through the Site is not intended to constitute financial, investment, lending, legal, tax, accounting, or other professional advice.

The Site does not create a lender-borrower, advisor-client, fiduciary, or other professional relationship between you and LoanStar.

Any decisions regarding lending, financing, credit products, eligibility, rates, terms, or other financial matters should be made with the appropriate financial institution or qualified professional.

6. Intellectual Property

The Site and its contents, including without limitation its text, graphics, logos, trademarks, service marks, designs, photographs, videos, software, documents, Materials, and other content, are owned by LoanStar or its licensors and are protected by applicable intellectual property laws.

LoanStar, MerchantLinQ, and other LoanStar names, logos, product names, and marks are trademarks or service marks of LoanStar Technologies, LLC or its affiliates, as applicable. You may not use LoanStar’s trademarks or other branding without our prior written permission.

Except as expressly permitted by these Terms or applicable law, you may not:

  • Copy, reproduce, modify, distribute, publish, transmit, display, perform, sell, license, or create derivative works from Site content.
  • Remove copyright, trademark, or other proprietary notices.
  • Use LoanStar’s content, trademarks, or branding in a manner that suggests an affiliation, endorsement, sponsorship, or relationship that does not exist.
  • Use Site content for commercial purposes without our prior written permission.

Your use of the Site does not grant you any ownership interest in LoanStar’s intellectual property.

7. Communications and Submissions

The Site may provide opportunities for you to contact LoanStar, request information or a demonstration, submit an inquiry, apply for employment, or otherwise communicate with us.

You are responsible for ensuring that information you provide is accurate and that you have the right to provide it.

9. LoanStar Software and Services

Information about LoanStar’s software, platforms, technology, and services presented on the Site is provided for general informational purposes.

Access to or use of LoanStar software, including MerchantLinQ, may require a separate agreement, account, authorization, or other arrangement with LoanStar or an authorized LoanStar customer.

If you access LoanStar technology through a financial institution, merchant, partner, or other organization, your use of that technology may be governed by agreements or policies established by that organization in addition to any applicable LoanStar terms.

These Terms do not grant you any right or license to access or use MerchantLinQ or any other LoanStar software or service unless you are separately authorized to do so.

In the event of a conflict between these Terms and a separate written agreement governing your use of a LoanStar product or service, the separate agreement will control with respect to that product or service.

10. Website Availability and Security

We strive to maintain the availability, security, and functionality of the Site, but we do not guarantee that the Site will always be available, uninterrupted, secure, or free from errors, defects, viruses, or other harmful components.

We may modify, suspend, restrict, or discontinue all or part of the Site at any time, with or without notice.

11. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE, ITS CONTENT, AND ALL MATERIALS MADE AVAILABLE THROUGH THE SITE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

LOANSTAR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.

LOANSTAR DOES NOT WARRANT THAT:

  • THE SITE WILL MEET YOUR PARTICULAR REQUIREMENTS;
  • THE SITE WILL BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION;
  • THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
  • INFORMATION PROVIDED THROUGH THE SITE WILL BE COMPLETE, ACCURATE, OR CURRENT;
  • THE SITE OR ITS CONTENT WILL BE FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS; OR
  • ANY PARTICULAR BUSINESS, FINANCIAL, LENDING, OR OTHER RESULT WILL BE ACHIEVED THROUGH USE OF THE SITE OR LOANSTAR’S TECHNOLOGY.

Nothing in these Terms excludes or limits any warranty or right that cannot lawfully be excluded or limited under applicable law.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LOANSTAR TECHNOLOGIES, LLC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO:

  • YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE;
  • YOUR RELIANCE ON INFORMATION PROVIDED THROUGH THE SITE;
  • ANY conduct or content of any third party;
  • ANY third-party website, application, or service linked to or from the Site; or
  • ANY unauthorized access to, alteration of, or disclosure of information transmitted to the Site.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LOANSTAR’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO LOANSTAR, IF ANY, FOR ACCESS TO THE SITE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, the limitations above will apply only to the extent permitted by applicable law.

13. Indemnification

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless LoanStar Technologies, LLC and its affiliates, officers, directors, employees, agents, contractors, licensors, and service providers from and against claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

  • Your violation of these Terms;
  • Your misuse of the Site;
  • Your violation of applicable law or the rights of another person or entity; or
  • Information or content you submit through the Site that violates these Terms or the rights of another person or entity.

14. Termination

We may suspend or terminate your access to the Site at any time if we reasonably believe that you have violated these Terms, applicable law, or the rights of LoanStar or another person or entity.

You may discontinue your use of the Site at any time.

Sections of these Terms that by their nature should survive termination will remain in effect, including provisions concerning intellectual property, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution.

15. Governing Law and Disputes

These Terms and your use of the Site will be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-law principles.

Any dispute arising out of or relating to these Terms or your use of the Site will be subject to the applicable state or federal courts located in Pennsylvania, unless applicable law requires otherwise.

16. Changes to These Terms

We may update these Terms from time to time.

When we make changes, we will update the “Last Updated” date at the top of this page and post the revised Terms on the Site.

If we make a material change to these Terms, we may provide additional notice as appropriate or required by applicable law.

Your continued use of the Site after revised Terms become effective constitutes your acceptance of the revised Terms, to the extent permitted by applicable law.

18. Severability and Waiver

Our failure to enforce any provision of these Terms will not constitute a waiver of that provision or our right to enforce it in the future.

19. Entire Agreement

These Terms, together with any policies expressly incorporated into them, constitute the agreement between you and LoanStar regarding your use of the Site and supersede prior or contemporaneous understandings concerning your use of the Site.

These Terms do not replace, modify, or supersede any separate written agreement between LoanStar and its customers, partners, vendors, or other parties concerning LoanStar’s software, technology, products, or services.
